SPANISH SECURITIES AND EXCHANGE COMMISSION SEGREGATION OF BUSINESS IN GALICIA IN FAVOUR OF THE NEW
“BANCO PASTOR”
Today, 9 December 2013, at the Companies Register of A Coruña, Banco Popular Español registered a demerger operation by which, without winding up its business, it transferred en bloc part of its assets, comprising the entire capital of 236 of its offices, to Banco Pastor, S.A by means of universal succession.
To finance the operation, Banco Pastor, S.A. carried out the corresponding capital increase, which was entirely subscribed by the single shareholder Banco Popular Español, S.A.
The assets of Banco Pastor, S.A., therefore, now amount to €10.5 billion and 236 branch offices distributed throughout Galicia, with its head office in A Coruña.
With this structure, Grupo Banco Popular demonstrates its commitment to the economic development of Galia and its strong ties to the region.
